Yo-Yo.ai is a non-custodial AI-driven trading and liquidity protocol. Yo-Yo.ai operates on blockchain technology, though its deployment may extend across multiple networks. The platform is accessible via its website, mobile applications, and API interfaces.

Definitions

“Agreement” means these terms.

“Yo-Yo.ai” includes the entire ecosystem of services, applications, and platforms operated under the Yo-Yo.ai brand. This includes, but is not limited to:

• The Yo-Yo.ai platform, which provides oracle API feeds for predictive market insights and algorithmic trading strategies.

• Yo-Yo.ai social media accounts, under official handles across platforms.

• References to “Yo-Yo” in documentation, whitepapers, communications, and marketing materials.

• The Yo-Yo.ai digital application (dApp), trading agents, and interfaces, accessible via web, mobile, and any other connected services.

• The $YOYO token, which interacts with and integrates into the economic model of the protocol.

"Protocol" refers to the centralized and decentralized infrastructure, and smart contract-based system, that powers Yo-Yo.ai’s operations. The protocol operates on blockchain technology, though the specific network(s) on which it is deployed may vary. It is designed to optimize DeFi markets by integrating oracle data feeds, automated AI-driven trading strategies, and liquidity management tools.

Users interact with the Protocol through various interfaces, including direct smart contract interactions, API integrations, and automated trading solutions. As a system, Yo-Yo.ai does not act as an intermediary or custodian of funds, ensuring that users retain full control over their assets at all times.

“Services” refers to the informational, facilitative, and operational resources provided by Yo-Yo.ai across its website, sub-domains, and other digital interfaces. These services include, but are not limited to, providing access to real-time predictive market data via Yo-Yo.ai’s oracle API feeds, AI-driven trading insights, and automated DeFi vaults. The Yo-Yo.ai ecosystem encompasses governance, community engagement, and various integrations that interact with blockchain networks, including but not limited to EVM-compatible and non-EVM blockchains. The Services are designed to assist users in accessing and utilizing Yo-Yo.ai’s smart contracts, oracle solutions, and algorithmic trading strategies while maintaining a non-custodial framework. Users can interact with these services through direct smart contract engagement, API integrations, and automated trading tools.

“Site” and “website” means https://yo-yo.ai, or any sub-domain, application, or digital interface operated under the Yo-Yo.ai ecosystem, including web and mobile platforms.

“We,” “us,” or “our” refers to Yo-Yo.ai, including its platform, applications, interfaces, oracle services, AI-driven trading agents, DeFi vaults, governance structures, and official social media accounts. This definition applies across all references to Yo-Yo.ai in documentation, communications, and service interactions.

“User,” “you,” or “your” refers to any individual, entity, or organization that accesses or uses the Site, Protocol, or Services, and by doing so, accepts this Agreement.

If you are accepting this Agreement on behalf of a company, organization, or other legal entity, you represent and warrant that:

(i) You have the legal authority to bind that entity to the terms of this Agreement.

(ii) “You” and “your” refer to that entity, organization, or company.

(iii) You may be referred to as “Company” in this Agreement.

If you do not have such authority or do not agree to these terms, you must not access or use the Site, Protocol, or Services.

Disclaimer and Limitations of Liability

Yo-Yo.ai is provided as an informational and facilitative resource, offering insights into the Yo-Yo.ai ecosystem, its functionalities and integrations. The platform delivers resources about Yo-Yo.ai’s decentralized, community-driven infrastructure, including its oracle API feeds, AI-driven trading agents, DeFi vaults, governance mechanisms, and smart contract interactions. As a blockchain-based system, Yo-Yo.ai provides information on its operational framework, governance structures, and various interfaces that enable users to engage with its services across web, mobile, and third-party integrations.

Yo-Yo.ai is provided as an informational resource that includes details about the fundamentals of the Yo-Yo.ai website, which is a platform deployed on blockchain network/s. The website provides resources about the Yo-Yo.ai ecosystem, governance, community, and integrations that interact with the Yo-Yo.ai protocol.

All information provided in connection with your access and use of the Site and Services is for informational purposes only and should not be considered financial, legal, technical, or investment advice. You should not take or refrain from taking any action based on content available on the Site or any other materials we provide at any time, including but not limited to blog posts, data, articles, market insights, API feeds, links to third-party content, Discord and Telegram discussions, news feeds, tutorials, social media posts, or videos. The Yo-Yo.ai platform, including its oracle services, AI-driven trading tools, and DeFi (DeFAI) vaults, involves high-risk financial instruments and algorithmic trading strategies. You acknowledge and agree that we are not responsible for the availability of external sites, applications, or resources, and we do not endorse or assume liability for any content, advertising, products, or other materials available from such sites or resources. You further acknowledge and agree that we will not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods, or services available on or through any external platform.

It is important to understand that neither we nor any affiliated entity is a party to any transaction on the blockchain networks underlying the Yo-Yo.ai website. We do not have possession, custody, or control over any crypto assets appearing on the Yo-Yo.ai website, nor do we store, send, or receive any crypto assets on behalf of users. When you interact with any Yo-Yo.ai smart contract, you retain full control over your crypto assets at all times. The private key associated with the wallet address from which you transfer crypto assets is the only key that can control the assets you transfer into the smart contracts. You alone are responsible for securing your private keys, and we do not have access to them.

Due to the non-custodial nature of the Yo-Yo.ai protocol, we are not intermediaries, agents, advisors, or custodians, and we do not have a fiduciary relationship or obligation to you regarding any decisions or activities you engage in while using the platform. You acknowledge that Yo-Yo.ai, for the avoidance of doubt, does not have any information regarding users, their identities, or services beyond what is publicly available on the blockchain. We are not responsible for any activities you engage in while using the Yo-Yo.ai Services, and you should understand the risks associated with crypto assets and blockchain technology.

The software underlying blockchain networks on which Yo-Yo.ai is deployed, including, for example, the Ethereum blockchain, is open source, meaning anyone can use, modify, and build upon it. By using the Services, you acknowledge and agree that:

(i) We are not responsible for the operation, functionality, or security of the blockchain-based software and networks underlying Yo-Yo.ai.

(ii) There is no guarantee of the functionality, security, or availability of such software or networks.

(iii) The underlying blockchain networks are subject to sudden changes in operating rules, including but not limited to those commonly referred to as “forks”.

The information provided on the Yo-Yo.ai Site, Services or Protocol does not constitute financial, investment, legal, or tax advice. Users are solely responsible for conducting their own due diligence and seeking professional advice before making financial decisions. Yo-Yo.ai disclaims all liability arising from reliance on any content provided on the website.

By using Yo-Yo.ai, you acknowledge and agree that transactions involving cryptocurrencies are highly volatile, and you accept all associated risks, including but not limited to price volatility, loss of funds, and regulatory uncertainty. Yo-Yo.ai does not guarantee any financial returns or the availability of the website at all times.

Nothing in these Terms will prejudice the statutory rights that you may have as a consumer of Yo-Yo.ai. Some countries, states, provinces, or other jurisdictions do not allow the exclusion of certain warranties or the limitation of liability as stated in this section, so the below terms may not fully apply to you. Instead, in such jurisdictions, the exclusions and limitations shall apply only to the extent permitted by the laws of such jurisdictions.

The Site, Services and Protocol and all information, content, materials, products (including software), and services included on or otherwise made available to you through the Site, Services and Protocol are provided by Yo-Yo.ai on an “as is” and “as available” basis. Yo-Yo.ai makes no representations or warranties of any kind, express or implied, regarding the operation of the Site, Services and Protocol, the accuracy of information, content, materials, products, or services made available through the website. You expressly agree that your use of the website is at your sole risk.

To the full extent permissible by law, Yo-Yo.ai disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability and fitness for a particular purpose. Yo-Yo.ai does not warrant that the website, its content, servers, or electronic communications are free of viruses or other harmful components.

To the full extent permissible by law, Yo-Yo.ai will not be liable for any loss of profits or any indirect, incidental, punitive, special, or consequential damages arising out of or in connection with these Terms. Further, to the full extent permissible by law, Yo-Yo.ai’s aggregate liability arising out of or in connection with these Terms will not exceed the total amounts you have paid (if any) to Yo-Yo.ai under this Agreement during the twelve (12) months immediately preceding the events giving rise to such liability. These limitations and exclusions regarding damages apply even if any remedy fails to provide adequate compensation.

User Responsibilities

If requested, User shall provide accurate, current and complete information on User’s legal name, address, e-mail address and phone number, and maintain and promptly update this information if it should change. User warrants they have the legal capacity to be bound to these terms and will not violate any laws or third-party rights.Transactions on the blockchain are not anonymous.

A widespread belief is that transactions involving blockchains are anonymous. In fact, a central feature of blockchains and thus, blockchain-based transactions, are that they are transparent. Your public key and your wallet address, which you need to buy or sell items on the blockchain, are visible to anyone. To the extent your public key or wallet address can be linked back to you, it would be possible for someone to determine your identity and the crypto assets you own.

Transactions on the Yo-Yo.ai website rely on smart contracts stored on various blockchains, cryptographic tokens generated by the smart contracts, and other nascent software, applications and systems that interact with blockchain-based networks. These technologies are experimental, speculative, inherently risky, and subject to change. Among other risks, bugs, malfunctions, cyberattacks, or changes to the applicable blockchain (e.g., forks) could disrupt these technologies and even result in a total loss of crypto assets, their market value, or digital funds.

You are solely responsible for the safekeeping of the private key associated with the blockchain address used to interact with Yo-Yo.ai. We assume no liability or responsibility for any such risks. If you are not comfortable assuming these risks, you should not access or engage in transactions using blockchain-based technology.

One of the other defining features of blockchain technology is that its entries are immutable, which means, as a technical matter, they generally cannot be deleted or modified by anyone. This includes smart contracts and crypto assets generated and programmed by smart contracts.

TRANSACTIONS RECORDED ON THE BLOCKCHAIN, INCLUDING TRANSFERS OF CRYPTOASSETS AND DATA PROGRAMMED INTO THESE ASSETS (SUCH AS REVENUE AND INTEREST ALLOCATIONS), MUST BE TREATED AS PERMANENT AND CANNOT BE UNDONE BY US OR BY ANYONE. YOU MUST BE VERY CAREFUL WHEN YOU FINALIZE ANY TRANSACTION THAT WILL BE RECORDED ON THE BLOCKCHAIN.

User Eligibility

You must be at least 18 years of age and have the legal capacity to enter into this Agreement. By accessing or using the website, you represent and warrant that you are not located in a jurisdiction where access to or use of the website is prohibited.

Account Creation and Management

To access certain aspects of Yo-Yo.ai, you will be asked to provide registration details or other information, and in order to use such resources, all the information you provide must be correct, current, and complete. From time to time, in order to access the website or certain games, services, or functionality, Yo-Yo.ai may require some or all users to download updated or additional software. The terms of use of such software may be subject to additional separate agreement/s between you and Yo-Yo.ai.

If you choose, or are provided with, a username, password, or any other piece of information as part of our security procedures, you must treat such information as confidential (other than username), and you must not disclose it to others. You must immediately notify us of any unauthorized use of your username or password or any other breach of security. You should use caution when accessing your account from a public or shared computer so that others are not able to view or record your password or other personal information. You may only access the website through your own account. Users do not own their accounts, and gifting or otherwise transferring of accounts or access keys is prohibited.

We reserve the right to change your display name if we deem it offensive, misleading, potentially infringing the rights of third parties or if you have been inactive for more than a year.

materials provided on the website, including but not limited to text, graphics, logos, icons, images, audio clips, and software, are owned by Yo-Yo.ai or its content suppliers and protected by applicable copyright, trademark, and other intellectual property laws.

The website, including all content, features, and functionality thereof, are owned by Yo-Yo.ai, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, and other intellectual property or proprietary rights laws.

You are permitted to use the website for your personal, non-commercial use only or legitimate business purposes related to your role as a current or prospective customer of Yo-Yo.ai.

Except as provided below, you must not copy, modify, create derivative works of, publicly display, publicly perform, republish, or transmit any of the material obtained through the website, or delete, or alter any copyright, trademark, or other proprietary rights notices from copies of materials from the Services. However, if you are otherwise in compliance with these

Terms, you are permitted to use, elsewhere and on other platforms, an unaltered copy of portions of the content that is publicly available on the Services for the limited, non-commercial purpose of discussing such content.

You must not reproduce, sell, or exploit for any commercial purposes any part of the Services, access to the protocol or use of the Services or any services or materials available through the Services.

For clarity, the foregoing permissions are limited to the Services, and no rights are granted with respect to any servers, computers, or databases associated with the Services.

Termination of Service

Yo-Yo.ai reserves the right to terminate or suspend the User's access to the website without prior notice if the User violates these Terms and Conditions or engages in any conduct that is harmful or offensive to the website or other users of the website at the sole discretion of Yo-Yo.ai. The User agrees that Yo-Yo.ai shall not be liable to the User or any third party for any termination or suspension of access to the website.

We are not liable for any third-party services or links.

We are not responsible for the content or services of any third party, including, without limitation, any network, or apps like Discord, or MetaMask, and we make no representations regarding the content or accuracy of any third-party services or materials. The use and access of any third-party products or services, including through the Yo-Yo.ai website, is at your own risk.

We reserve the right to restrict your access from engaging with the Yo-Yo.ai website. You agree that we have the right to restrict your access to the Yo-Yo.ai website via any technically available methods if we suspect, in our sole discretion, that (a) you are using the Yo-Yo.ai website for money laundering or any illegal activity; (b) you have engaged in fraudulent activity; (c) you have acquired crypto assets using inappropriate methods, including the use of stolen funds to purchase such assets; (d) you are the target of any sanctions administered or enforced by the U.S. Department of the Treasury’s Office of Foreign Assets Control (“OFAC”), the United Nations Security Council, the European Union, Her Majesty’s Treasury, or any other legal or regulatory authority in any applicable jurisdiction; (e) either you, as an individual or an entity, or your wallet address is listed on the Specially Designated Nationals and Blocked Persons List (“SDN List”), Consolidated Sanctions List (“Non-SDN Lists), or any other sanctions lists administered by OFAC; (f) you are located, organized, or resident in a country or territory that is, or whose government is, the subject of sanctions; or (g) you have otherwise acted in violation of these Terms.

If we have a reasonable suspicion that you are utilizing the Site for illegal purposes, we reserve the right to take whatever action we deem appropriate.

We do not guarantee the quality or accessibility of the Services.

As a condition to accessing or using Yo-Yo.ai, you acknowledge, understand, and agree that from time to time, the Site, Protocol and Services may be inaccessible or inoperable for any reason, including, but not limited to equipment malfunctions, periodic maintenance procedures or repairs, causes beyond our control or that we could not reasonably foresee, disruptions and temporary or permanent unavailability of underlying blockchain infrastructure or unavailability of third-party service providers or external partners for any reason. Users will be notified of downtime as soon as possible via email, website, or any social media outlet.

Taxes

You are responsible for your taxes and duties. Users bear sole responsibility for paying any and all taxes, duties, and assessments now or hereafter claimed or imposed by any governmental authority associated with their use of Yo-Yo.ai, and/or payable as the result of using and/or exploiting any crypto assets and interacting with smart contracts. Blockchain-based transactions are novel, and their tax treatment is uncertain.

Service Availability and Modifications

Yo-Yo.ai reserves the right to modify, suspend, or discontinue any aspect of the website or its services at any time, with or without notice, for any reason, including maintenance, upgrades, or business decisions. We are not liable for any loss resulting from such actions.

AML/KYC Compliance

Yo-Yo.ai may implement AML/KYC procedures in accordance with applicable laws and regulatory requirements. We reserve the right to request identification documents and to restrict access to the website for users who do not comply with these requests.

Prohibited Content

You may only use the Services if you comply with this Agreement (including, without limitation, these Terms), applicable third-party policies, and all applicable laws, rules, regulations and related guidance.

The following conduct is prohibited:

• using the Services for, or to promote or facilitate, illegal activity (including, without limitation, money laundering, financing terrorism, tax evasion, buying or selling illegal drugs, contraband, counterfeit goods, or illegal weapons);

• uploading or transmitting viruses, worms, Trojan horses, time bombs, cancel bots, spiders, malware or any other type of malicious code that will or may be used in any way that will affect the functionality or operation of the Services;

• attempting to or actually copying or making unauthorized use of all or any portion of the Services, including by attempting to reverse compile, reformatting or framing, disassemble, reverse engineer any part of the Services;

• harvesting or otherwise collecting information from the Services for any unauthorized purpose;

• using the Services under false or fraudulent pretenses or otherwise being deceitful;

• interfering with other users’ access to or use of the Services;

• interfering with or circumventing of the security features of the Services or any third party’s systems, networks or resources used in the provision of Services;

• engaging in any attack, hack, denial-of-service attack, interference, or exploit of any smart contract in connection with use of the Service (and operations performed by a user that are technically permitted by a smart contract may nevertheless be a violation of our Agreement, including these Terms, and the law); or

• engaging in any anti-competitive behaviour or other misconduct.

Violating our rules may result in our intervention. You agree and acknowledge that if you use the Yo-Yo.ai website to engage in conduct prohibited by applicable law, we permanently reserve the right to completely or partially restrict or revoke your access to the Yo-Yo.ai website, either completely or for a period of time, at our sole discretion. We reserve the right to amend, rectify, edit, or otherwise alter transaction data to remediate or mitigate any damage caused either to us or to any other person as a result of a user’s violation.

We reserve the right to investigate violations. We reserve the right to investigate and prosecute any suspected breaches of this Agreement, including the Terms. We may disclose any information as necessary to satisfy any law, regulation, legal process, or governmental request.

Indemnification of Yo-Yo.ai

You agree to indemnify, defend, and hold harmless Yo-Yo.ai, its affiliates, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses arising from your use of the website, violation of these terms, or infringement of any third-party rights.

Refund Policy

Due to the nature of blockchain transactions, all transactions conducted through the Yo-Yo.ai website are final and non-refundable. Users should carefully review all transaction details before proceeding.

Force Majeure

Yo-Yo.ai shall not be held liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, cyberattacks, regulatory changes, technical failures, and third-party service disruptions.

Prohibited Jurisdictions

Users located in, or accessing the Site, Services or Protocol from jurisdictions that prohibit the use of financial platforms, including but not limited to North Korea, Iran, Cuba, Russia, Syria, the regions of Ukraine known as Crimea, Donetsk and Luhansk, and any other countries subject to OFAC sanctions, are strictly prohibited from using the Yo-Yo.ai website.

Governing Law

Any dispute or claim by you arising out of or related to these Terms shall be governed by the law of the British Virgin Islands, exclusive of its choice of law rules. For any disputes deemed not subject to binding individual arbitration, as provided in the section immediately below, you and Yo-Yo.ai agree to submit to the exclusive jurisdiction of the British Virgin Islands. You and Yo-Yo.ai agree to waive any jurisdictional, venue, or inconvenient forum objections to such courts (without affecting either party’s rights to remove a case to federal court if permissible), as well as any right to a jury trial. Any law or regulation that provides that the language of a contract shall be construed against the drafter will not apply to these Terms. This paragraph will be interpreted as broadly as applicable law permits.

Language and Interpretation

These Terms and Conditions are written in English. In the event of any discrepancy between the English version and any translated version, the English version shall prevail.

Severability

If any provision of these Terms is found to be unlawful, invalid, or unenforceable under applicable law, that provision shall be deemed severable from the remainder of these Terms and shall not affect the validity, enforceability, or operation of the remaining provisions, which shall continue in full force and effect.

Updates to Terms and Conditions

We reserve the right to update, modify, or amend these Terms and Conditions at any time at our sole discretion. Updates may be made without prior notice to users.
